Agreement to Terms

These Terms of Service ("Terms") govern your use of the NexoFlow website and services. By accessing or using our website at nexoflow.tech or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Services Description

NexoFlow provides custom software development, AI automation systems, and business technology solutions. Our services include but are not limited to web application development, system integrations, workflow automation, and ongoing technical support. Specific project scope, timelines, and pricing are defined in individual project proposals and statements of work.

Project Engagement Process

• Discovery: Initial consultation to understand your requirements and business needs
• Proposal: We provide a detailed proposal including scope, timeline, and pricing
• Agreement: Upon acceptance, a project agreement is signed and deposit is paid
• Development: We execute the project with regular check-ins and reviews
• Delivery: Final payment is made upon project completion and approval

Payment Terms

• Project payments are structured according to individual project agreements
• Typical payment schedule: 30% deposit to begin, 40% at midpoint, 30% upon completion
• Payment is due within 14 days of invoice date
• Late payments may incur interest at 1.5% per month
• All fees are in USD unless otherwise specified

Intellectual Property

Upon full payment, you will own the deliverables created specifically for you. We retain ownership of:

• Pre-existing frameworks, tools, and components
• General knowledge, skills, and experience gained during the project
• Open-source libraries and third-party integrations

We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.

Client Responsibilities

• Provide timely feedback and approvals
• Supply required materials, content, and access credentials
• Ensure you have rights to any materials provided
• Communicate changes or concerns promptly

Warranties and Support

We warrant that our services will be performed professionally and with reasonable skill. We provide:

• A 30-day support period following project delivery for bug fixes
• Ongoing support available at agreed hourly rates or through maintenance agreements

We do not warrant that the deliverables will meet your specific business outcomes or that they will be error-free. We are not responsible for issues arising from third-party services, hosting providers, or subsequent modifications made by others.

Limitation of Liability

To the maximum extent permitted by law, our liability is limited to the amount you paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or lost data, even if we have been advised of the possibility of such damages.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the project. This obligation survives termination of our agreement. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

Termination

Either party may terminate a project with 14 days written notice. Upon termination:

• You will pay for all work completed up to the termination date
• We will deliver all completed work product
• Both parties will return or destroy confidential information

Affiliate Program Terms

If you participate in our affiliate program:

• Commissions are paid according to the affiliate program terms in effect at the time of referral
• Commission is only paid on completed and collected payments
• Minimum payout threshold applies as specified in the program
• Affiliate relationship may be terminated for fraudulent activity or violation of terms

Governing Law

These Terms are governed by the laws of the jurisdiction in which NexoFlow operates. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of the applicable jurisdiction.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
